By accessing or using the Service you confirm that you are at least 18 years old (or the age of majority in your jurisdiction), that you have read and understood these Terms, and that you agree to be bound by them. If you are accepting on behalf of a company, you represent that you have authority to bind that entity.

We may update these Terms from time to time. Material changes will be posted on this page with a revised effective date. Continued use of the Service after changes constitutes acceptance.

3. Free Calculator for Homeowners

• Estimates Are Informational Only. Cost estimates generated by tracing on satellite imagery are based on regional averages, material costs, and slope analysis. They are intended for budgeting purposes and do not constitute a binding bid, quote, or contract. Final pricing must be confirmed by a licensed contractor after an on-site inspection.
• No Account Required. The calculator is free to use. No registration, credit card, or personal information is required to draw and receive an estimate.
• No Agency Relationship. DrivewaySatellite is not a contractor, broker, or agent. We do not perform paving work. Any agreement between you and a contractor is solely between those two parties.

4. Contractor SaaS Subscription

The following terms apply to Subscribers who purchase access to our "For Contractors" platform. We currently offer three plan tiers:

Plan features and pricing are subject to change. Current pricing is always displayed on the For Contractors page. Existing Subscribers will receive at least 30 days' notice before any price increase takes effect on their account.

5. Fees, Billing, Guarantee, and Cancellation

• Recurring Billing. Subscriptions are billed in advance on a monthly or annual cycle, depending on the plan selected. Prices are listed in USD and are subject to change with 30 days' notice to existing Subscribers.
• Setup Fee. Custom widget setup and onboarding are currently included at no additional charge. We reserve the right to introduce setup or configuration fees for new Subscribers in the future.
• Payment Processing. Payments are processed by PCI-compliant third-party providers (e.g., Stripe). We do not store your full credit card number on our servers.
• 30-Day Money-Back Guarantee. If you are not satisfied with the Service for any reason, you may request a full refund within the first 30 days of your initial subscription. To claim your refund, email team@drivewaysatellite.com within 30 calendar days of your first payment. Refunds are processed to your original payment method within 5 to 10 business days. This guarantee applies once per Subscriber and only to the first billing cycle.
• Cancellation. You may cancel at any time through your dashboard or by emailing team@drivewaysatellite.com. Cancellation takes effect at the end of the current billing period. Your widget will be deactivated, your territory exclusivity will be released, and no further charges will apply.
• Refunds After the Guarantee Period. After the initial 30-day guarantee window, fees are non-refundable except where we materially fail to provide the core Service as described. We may issue discretionary credits on a case-by-case basis.
• Taxes. You are responsible for any applicable sales tax, VAT, or other taxes in your jurisdiction.

6. Acceptable Use

You agree not to:

• Use automated bots, scrapers, or scripts to access or overload the Service.
• Attempt to reverse-engineer, decompile, or extract the source code of the pricing algorithms, widget, or APIs.
• Embed the widget on sites that contain illegal content, hate speech, or fraudulent material.
• Submit fake leads, fabricated addresses, or other fraudulent data.
• Resell, sublicense, or redistribute access to the Service or any lead data obtained through it.
• Interfere with the security, integrity, or performance of the Service or its underlying infrastructure.

We reserve the right to suspend or terminate access for any User or Subscriber who violates these rules, with or without prior notice.

7. Intellectual Property

All proprietary materials on the Service, including the estimation algorithms, widget code, UI designs, topography graphing, branding, and documentation, are owned by DrivewaySatellite and protected under applicable copyright and intellectual property laws.

Your Content. You retain ownership of any data you submit (addresses, drawings, lead info). By submitting Content, you grant us a limited license to use it to operate, improve, and deliver the Service.

Feedback. If you provide suggestions, feature requests, or other feedback, we may use it without restriction or compensation.

9. Limitation of Liability

To the maximum extent permitted by applicable law, DrivewaySatellite and its owners, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of the Service.

Liability Cap. Our total aggregate liability for any claim arising from these Terms or the Service shall not exceed the greater of (a) the fees you paid to us in the twelve (12) months preceding the claim, or (b) one hundred US dollars ($100).

10. Indemnification

You agree to defend, indemnify, and hold harmless DrivewaySatellite from any claim, demand, or damage (including reasonable legal fees) arising from: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party right, or (d) any dispute between you and a homeowner or contractor connected through the Service.

11. Termination

By You. Free Users may stop using the Service at any time. Subscribers may cancel their subscription as described in Section 5.

By Us. We may suspend or terminate your access at any time for cause (e.g., violation of these Terms, non-payment, fraudulent activity). We will make reasonable efforts to notify you before or promptly after termination, except in cases of fraud or legal obligation.

Effect of Termination. Upon termination, your right to use the Service ceases immediately. Sections 7-10 and 12 survive termination.

12. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict-of-law principles. DrivewaySatellite is organized as a Wyoming limited liability company. Any dispute arising from these Terms shall first be submitted to good-faith mediation. If mediation is unsuccessful within thirty (30) days, the dispute shall be resolved through binding arbitration administered under the rules of the American Arbitration Association, conducted in English, with the seat of arbitration in Cheyenne, Wyoming. You agree to waive any right to a jury trial or participation in a class action. Nothing in this section limits either party's right to seek injunctive or equitable relief in a court of competent jurisdiction in Wyoming to protect intellectual property or confidential information.

13. General

• Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and DrivewaySatellite.
• Severability. If any provision is found unenforceable, the remaining provisions continue in full force.
• Waiver. Our failure to enforce a right does not constitute a waiver of that right.
• Assignment. You may not assign your rights under these Terms. We may assign ours in connection with a merger, acquisition, or sale of assets.
• Force Majeure. We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, internet outages, or government actions.
